The laws of the State of Washington provide that the Pierce County Rural Library District, at its expense, may defend and indemnify any member of the Board of Trustees (trustee), employee or volunteer performing duties on behalf of the Library District in good faith. The Board of Trustees of the Pierce County Rural Library District believes that the provision of such legal defense should be sought through an established policy and procedure.

The Pierce County Rural Library District shall be responsible for all acts and omissions of the individual trustees, employees and volunteers of the Pierce County Rural Library District taken in good faith in the performance of their duties for the Pierce County Rural Library District. The Library District shall save and hold harmless these individuals from all costs, expenses, losses and damages, incurred as a result of acts or omissions taken in good faith relating to the performance of duties as a trustee, employee or volunteer. The Library District shall be responsible for any such acts and shall indemnify and hold harmless these individuals from all costs, expenses, losses and damages, including attorney's fees incurred as a result of any act or omissions in the performance of their duties or the purported performance of their duties in good faith; provided, however, that no such individual shall be indemnified or reimbursed for any purposeful, willful misconduct.

A separate set of procedures shall detail the administration of this policy, including the process for provision of legal defense.

This right of indemnification herein provided shall not be exclusive of any rights to which any trustee, employee or volunteer of this agency may otherwise be entitled by law. The existence of this policy shall not give rise to any independent third party rights or cause of action.
